Welcome to AL IntelliFlow. These Terms of Service ("Terms") are a legal agreement between you and AL Digital Intelligence Group ("we," "us," or "our") governing your access to and use of AL IntelliFlow (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use AL IntelliFlow. By using the Service, you represent that you meet these requirements.

2. Your Account

You are responsible for:

Providing accurate registration information
Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us immediately of any unauthorized access

We may suspend or terminate accounts that violate these Terms or pose a risk to the Service or other users.

3. Subscription, Billing, and Refunds

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles refunds. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscriptions renew automatically at the interval you select (monthly or annually) until canceled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

Refunds are handled in accordance with our Refund Policy, which provides a 30-day money-back guarantee. Price changes will be communicated at least 30 days in advance.

Free trials, where offered, do not require a credit card. If no paid subscription is started before the trial ends, your account will be paused.

3.1 Founding Offer

We are offering a limited "Founding Member" price lock with the following plain-language terms:

What is locked: the monthly Pro subscription price of $79/month (USD). The lock applies to the Pro monthly plan only and does not apply to the annual plan, the Scale plan, or any future plan.
Who qualifies: the first 50 subscribers to start a paid monthly Pro subscription. Once 50 Founding Member spots are filled, the offer closes.
How long it lasts: the locked price remains in effect for as long as your subscription stays continuously active.
How the lock ends: if your subscription is canceled, lapses for non-payment, or is otherwise not continuously active, the Founding Member price lock is permanently lost. Re- subscribing later is at then-current rates and does not restore the lock.
Founding-era features: "Founding-era features" means the features generally available in the Pro plan as of the date your continuously-active subscription began. If we later introduce higher-priced tiers or gate specific features behind add-ons, your Founding Member subscription continues to include the founding-era feature set at no additional charge — for as long as your subscription stays continuously active.
What is not included: the lock does not cover taxes, third-party fees, add-ons, usage-based charges, or future products sold separately from the Pro monthly plan.
Discontinuation: if we discontinue the Pro monthly plan, materially reduce the founding-era feature set, or wind down the Service, we will give Founding Members at least 30 days' written notice by email. In that case the lock ends on the effective date of the change, and no further obligation to maintain the $79 monthly price applies.

4. Acceptable Use

You agree not to:

Violate any applicable law or regulation
Use the Service to send spam, unsolicited bulk messages, or content that violates anti-spam laws (CAN-SPAM, CASL, GDPR)
Upload or process Protected Health Information (PHI) or other clinical data — AL IntelliFlow is not HIPAA-compliant, we do not offer Business Associate Agreements, and PHI is not permitted on the Service under any circumstances
Impersonate any person or misrepresent your affiliation
Attempt to gain unauthorized access to the Service or its systems
Reverse engineer, decompile, or attempt to extract source code
Use the Service to generate, distribute, or facilitate illegal content, harassment, defamation, or harm
Use the Service to provide medical, legal, financial, or other regulated professional advice without appropriate licensure and disclosures
Resell or sublicense the Service without our written permission
Use automated means to scrape or extract data from the Service

5. Your Content and Data

You retain all rights to the content you upload to AL IntelliFlow ("Your Content"), including knowledge base entries, prompts, contact information, and conversation data.

By using the Service, you grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely as needed to provide the Service to you.

You represent and warrant that:

You have the right to upload and use Your Content
Your Content does not violate any third-party rights or laws
You have obtained any consents required from your contacts before using AL IntelliFlow to communicate with them

6. AI-Generated Content

AL IntelliFlow uses artificial intelligence to generate responses, recommendations, and communications. AI output may be inaccurate, incomplete, or inappropriate for your specific situation. You are responsible for reviewing AI-generated content before it reaches your contacts or clients.

AL IntelliFlow is not a substitute for licensed professional services. If you operate in a regulated field (healthcare, mental health, law, finance), you remain solely responsible for compliance with the standards of your profession and jurisdiction.

7. Our Intellectual Property

AL IntelliFlow, including its software, design, branding, and documentation, is owned by AL Digital Intelligence Group and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service. You may not copy, modify, or create derivative works of our intellectual property without written permission.

8. Third-Party Services

AL IntelliFlow integrates with third-party services (payment processors, AI model providers, analytics tools, email delivery, etc.). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AL DIGITAL INTELLIGENCE GROUP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to defend, indemnify, and hold harmless AL Digital Intelligence Group and its affiliates from any claims, damages, or expenses arising from your use of the Service, Your Content, or your violation of these Terms.

12. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we discontinue the Service.

Upon termination, your right to use the Service ends. We may retain your data for a reasonable period to comply with legal obligations. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution) will survive.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the platform at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Brevard County, Florida, except that either party may seek injunctive relief in court for intellectual property claims. You waive any right to participate in class actions.

15. Entire Agreement

These Terms, together with our Privacy Policy and AI Policy, constitute the entire agreement between you and AL Digital Intelligence Group regarding the Service.
